Terms of Service

1. Acceptance of terms

By accessing or using cobalia.io (the “Site”) — including joining the waitlist or submitting a contact form — you agree to be bound by these Terms of Service (“Terms”). If you do not agree, please do not use the Site.

These Terms apply to all visitors and users of the Site. They form a binding agreement between you and Cobalia (“we,” “us,” or “our”).

2. Service description

Cobalia is a pre-launch marketplace that pairs SaaS founders with performance-based marketers. The platform is currently in development. By joining the waitlist, you are expressing interest in accessing the platform when it launches — not purchasing any product or service.

We reserve the right to modify, suspend, or discontinue any aspect of the Site or planned service at any time without notice or liability.

3. Eligibility

You must be at least 16 years old to use the Site. By using the Site, you represent and warrant that you meet this requirement and that all information you provide is accurate and truthful.

4. Waitlist

Joining the waitlist does not guarantee access to the Cobalia platform. Waitlist placement is at our sole discretion. We may invite users in any order we choose, limit overall access, or close the waitlist at any time.

By submitting your email address, you consent to receive occasional updates about the platform’s development. You may unsubscribe at any time via the link in any email we send you.

5. User conduct

You agree not to:

  • Submit false or misleading information via the waitlist or contact form.
  • Use automated means (bots, scrapers) to access or collect data from the Site without our prior written consent.
  • Attempt to interfere with or disrupt the Site’s infrastructure, security, or performance.
  • Use the Site for any unlawful purpose or in violation of any applicable regulation.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.

6. Intellectual property

All content on the Site — including text, design, logos, graphics, and code — is the property of Cobalia or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

Any feedback, ideas, or suggestions you submit to us may be used by Cobalia without restriction or compensation to you.

7. Privacy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it to understand our data practices.

8. Third-party links

The Site may contain links to third-party websites or services. We do not endorse and are not responsible for the content, privacy practices, or terms of any third-party sites. Accessing third-party links is at your own risk.

9. Disclaimer of warranties

The Site and its content are provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.

10. Limitation of liability

To the fullest extent permitted by law, Cobalia and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of — or inability to use — the Site, including loss of data, profits, or goodwill, even if advised of the possibility of such damages.

Our total liability for any claim arising out of or relating to these Terms or the Site shall not exceed €100.

11. Indemnification

You agree to indemnify, defend, and hold harmless Cobalia and its affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your violation of these Terms or your use of the Site.

12. Governing law & disputes

These Terms are governed by and construed in accordance with the laws of Belgium, without regard to its conflict-of-law provisions. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Belgium.

If you are a consumer in the EU, you may also have the right to bring a claim in the courts of your country of residence.

13. Changes to these terms

We may revise these Terms at any time. When we do, we will update the effective date at the top of this page. For material changes, we will make reasonable efforts to notify waitlist members by email. Continued use of the Site after changes constitutes your acceptance of the updated Terms.
